Omnicity Corp. Completes Acquisition of Forepoint Networks

March 31, 2009 -- Omnicity Corp. (OTC-BB: OMCY) – The Midwest’s largest fixed Wireless Internet Service Provider (WISP) announces the acquisition of Indiana’s fastest WISP, Forepoint Networks (“Forepoint”). This acquisition represents the third of several acquisitions that Omnicity plans to complete by the end of May 2009 and adds another approximately 1,000 subscribers and over 20 towers in the Tipmont REMC area. We plan to partner with Tipmont REMC to expand coverage to their customers.

Omnicity takes another step forward in its acquisition strategy with the acquisition of Forepoints’ subscriber base, tower locations and wireless assets. Forepoint adds a large customer base in rural north central Indiana in the Tipmont REMC coverage area. Omnicity now covers over half of the State of Indiana and plans to continue its expansion throughout the Midwest by the end of 2009 and nationally in 2010. Eric Steele, President of Forepoint, commented, “We are excited about what Omnicity can deliver to our customers as they add advanced voice and video services. Omnicity, through partnering with the Tipmont REMC will be able to expand our customer base rapidly.” Forepoint began in 2006 replacing dial up Internet, previously their only choice, with high speed wireless Internet services in rural markets. The strategic addition of Forepoint is expected to bring rapid expansion and more fiber optic infrastructure to the existing network while giving Omnicity more ability to grow its network in the Midwest and nationally.

“We are very excited about the addition of Forepoint Networks and welcome their customers to our family. We are looking forward to adding services to yet another rural area to assist us in furthering our mission to be the preeminent consolidator of rural broadband nationwide”, commented Omnicity’s CEO, Richard Beltzhoover.

About The Company

Omnicity Corp. (OTC-BB: OMCY), based in Indiana, is a premier wireless broadband services utility that is forecasting tremendous growth by providing affordable, high-speed internet access and advanced communications solutions to businesses and residential users in rural communities. As the premier consolidator of rural market broadband nationwide, Omnicity’s WISP services empower individuals and businesses by providing the state-of-the-art wireless infrastructure they need to drive economic development, job growth and civic participation. In StocksJournal’s opinion, Omnicity has the potential to rapidly become the premier consolidator of rural market broadband providers in the US.

Since its inception in 2003, Omnicity reports that is has grown to be the largest rural WISP in the Midwest through acquisitions and organic growth. Omnicity is partnering with Rural Electric Municipal Cooperatives and rural telephone companies to provide a total broadband solution. Management plans to accelerate its rapid growth through ongoing acquisitions of smaller regional WISPs and continued organic growth. Omnicity is operationally cash flow positive and, over the next five years, plans to reach 166,000 subscribers which projects into $48 million in EBITDA.

Business Highlights:

  • Operationally cash flow positive and growing with over 6,000 subscribers in its network by March 31, 2009
  • Market size of at least 40 million rural and small market homes, businesses, governments and schools
  • 18 month strategy to expand into 100 additional small and rural markets
  • Fast, scalable, low cost deployment using low cost industry standard wireless equipment
  • Experienced WISP, financial and public company management team
  • Low operating costs through centralized management, billing and customer service
  • Migration to advanced wireless standards (WiMax)

Why OMCY Warrants Investment Consideration:

  1. Growth through savvy acquisitions, alliances and by targeting new markets -- Proving that its business model is highly successful on a regional basis in Indiana, Omnicity is planning to grow nationally via acquisitions and marketing through a strategic alliance with the nation-wide Rural Electric Membership Cooperatives (REMCs) and regional governments.

The Company anticipates over 30 acquisitions in the next 18 months!

  2. Establishing operational efficiencies -- Omnicity’s business is highly scalable and uses low cost industry standard wireless equipment allowing for very efficient use of capital and low operating cost per subscriber. The use of a centralized billing and management system further improves the operating efficiencies of the consolidated businesses as they are acquired.
  3. Secures financing, accelerates acquisition strategy -- Just recently Omnicity and Agility Ventures, LLC, an alliance partner, closed an Agreement to add an additional $1,000,000 Master Lease facility which will assist Omnicity in the furthering of its mission to bring broadband to markets of rural America and to accelerate its acquisition strategy.
  4. Omnicity executives take to Capitol Hill to lobby Indiana Congressional Delegation -- March 06 – As the landmark federal Stimulus Bill was nearing final mark-up and vote for the President’s signature, Omnicity executives took to Capitol Hill to ensure that key members of the Indiana congressional delegation were aware of Omnicity’s mission to bring broadband to rural America and to participate in fulfilling that mandate of the American Recovery and Reinvestment Act of 2009.
  5. The wireless competitive advantage -- Omnicity’s value proposition is to provide internet access to rural America at a significantly lower cost than wire or fiber optics.
  6. Systems operations and installation cost reductions -- Omnicity uses standards-based wireless equipment and has migrated to the next generation of 900MHz and 2.4GHz equipment, resulting in reduced tower installation costs and subscriber installation costs as well dramatic performance enhancements.
  7. Immediate market potential -- Omnicity executes its strategy by acquiring or building operations in small to mid-size markets with a significant number of households not effectively served by traditional hard-wire broadband service. These markets typically have terrain and other conditions conducive to wireless transmissions.
  8. WISP Industry Overview -- In the United States today, there are several thousand WISPs operating in the licensed and unlicensed spectrum. These operators are predominately using unlicensed 900MHz and 2.4GHz for the transmission of their services. Omnicity believes that many of these smaller WISPs are candidates for acquisition due to the lack of resources needed to develop their network and subscriber base.
